Terms of Service
These terms govern your use of the Reely website, application, and connected services.
Acceptance
By accessing this website, creating a Reely account, uploading any content, or using any part of the Reely service, you agree to these Terms of Service. If you do not agree, do not use the site or the service. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization.
Description of the service
Reely is an AI-powered video editing tool developed by Reely Inc. ("Reely," "we," "us"). The service allows you to upload raw footage, scripts, voiceovers, and brand assets, and to render finished videos with AI-applied captions, transitions, motion, styling, and music. You control what content you upload and what edits you request. Reely processes your content only as you instruct.
Account and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep that information up to date. You must notify us promptly if you suspect unauthorized use of your account.
Content you upload
When you upload footage, audio, scripts, brand assets, or any other content to Reely, you represent and warrant that:
You own the content, or you have the necessary rights, licenses, consents, and permissions to upload it.
All individuals visible or audible in the content have consented to its use, including AI processing, where required by law.
The content does not infringe any third party's intellectual property, privacy, publicity, or other rights.
The content does not contain anything unlawful, defamatory, or in violation of our acceptable use policy.
You are solely responsible for the content you upload and for any consequences that result from uploading or rendering it.
Using AI: your responsibility
AI output can be wrong. Reely uses machine learning to caption, edit, and style your videos. Because of the probabilistic nature of these models, output may occasionally be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing every rendered video before publishing or sharing it.
You acknowledge this inherent limitation and agree to evaluate AI output as appropriate for your use case. You are solely responsible for:
Providing clear instructions and accurate source content.
Reviewing all rendered output before publishing or sharing.
Ensuring the videos you produce and publish comply with applicable laws and the terms of the platforms you publish them to.
Maintaining backups of important source content.
You remain solely responsible for any opinions, claims, or representations made in videos you create or publish using Reely. Reely does not independently verify the correctness, legality, or appropriateness of any content you produce.
Acceptable use
You may use Reely for lawful purposes consistent with these terms. You may not:
Upload content that infringes intellectual property, privacy, or publicity rights of others.
Create non-consensual intimate imagery, sexual content involving minors, or any content that depicts real people in misleading or harmful ways.
Produce content intended to deceive, defraud, harass, defame, or impersonate any person or organization.
Use Reely to generate political disinformation, false statements about public figures, or fabricated events presented as real.
Attempt to circumvent security controls, rate limits, or access restrictions.
Reverse-engineer, decompile, or attempt to extract the source code or model weights of Reely.
Interfere with the operation of Reely or its infrastructure.
Redistribute, sublicense, or resell access to Reely without our prior written consent.
Ownership of content and output
You retain full ownership of all content you upload to Reely. We do not claim any ownership rights over your footage, audio, scripts, or brand assets.
Subject to your compliance with these terms and any third-party asset licenses, you own the rendered videos Reely produces from your content. You may use rendered videos for personal or commercial purposes in accordance with your subscription plan.
We grant ourselves a limited license to process, store, and display your uploaded content and rendered output solely as needed to operate the service and deliver it to you. This license ends when you delete the content or close your account.
Music, fonts, and asset licensing
Reely includes a library of music, sound effects, fonts, transitions, and stock visuals licensed from third-party providers. Use of these assets in your rendered videos is permitted under Reely's commercial-use license, which covers use on monetized platforms including YouTube, TikTok, Instagram, and others, for the duration of your subscription.
If you cancel your subscription, you retain the right to use rendered videos that incorporate Reely's licensed assets, but you may not download additional licensed assets or use them in new projects.
Intellectual property
The Reely brand, application, website, product materials, page copy, design, and site content are owned by Reely Inc. or its licensors unless otherwise stated. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use Reely in accordance with these terms. These Terms do not grant you ownership of the application, website, or any associated intellectual property.
Availability and changes
Features, pricing, supported export formats, integrations, and asset libraries may change over time. We may update, replace, suspend, or remove features and site content without prior notice. We will make reasonable efforts to communicate material changes, but we do not guarantee uninterrupted availability of any feature.
No warranty
The site, application, and service are provided on an as-is and as-available basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, fitness for a particular purpose, or that any AI-generated output will be accurate, complete, or suitable for your needs.
Limitation of liability
To the fullest extent permitted by law, Reely Inc. and its operators, officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Reely, the website, or any rendered output. This includes but is not limited to damages from videos published, removed, mistranscribed, miscaptioned, or otherwise affected by the AI assistant. Our total aggregate liability for all claims arising from these terms or the use of Reely shall not exceed the total fees you have paid to Reely Inc. during the twelve (12) months immediately preceding the event giving rise to the claim. These limitations reflect an informed allocation of risk between the parties, are reflected in the commercial terms offered by Reely Inc., and are an essential element of the basis of the bargain between the parties.
Termination
You may stop using Reely and close your account at any time. We may suspend or terminate your access to Reely at any time if we believe you are misusing the service, violating these Terms, infringing third-party rights, or causing risk or legal exposure. Upon termination, your license to use Reely ends immediately. Sections regarding intellectual property, limitation of liability, ownership, indemnification, and governing law survive termination.
When you close your account, we will delete your uploaded content and rendered output within 14 business days, as described in our Privacy Policy.
Indemnification
You agree to indemnify and hold harmless Reely Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of Reely, content you upload, videos you produce or publish, your violation of these Terms, or your violation of any third-party rights.
Force majeure
Reely Inc. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet service provider failures, third-party service outages, power failures, telecommunications failures, cyberattacks, pandemics, labor disputes, or acts of third parties. During such events, our obligations under these Terms are suspended for the duration of the event.
Changes to these terms
We may update these Terms as the product, service, or legal requirements evolve. When we make material changes, we will update the effective date on this page and, where appropriate, notify you by email or through the application. Your continued use of Reely after changes take effect constitutes acceptance of the updated terms.
Dispute resolution and arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Reely ("Dispute") shall first be attempted to be resolved through informal negotiation by contacting us at legal@reely.com. If a Dispute cannot be resolved informally within thirty (30) days, it shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.
You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. There is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class-action procedures. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
